TERMS AND CONDITIONS

Definitions

  • Agreement: Any contract, proposal, or attached documentation outlining our services.
  • Client Content: Materials provided by the client, including images, text, or other content for use in a project.
  • Deliverables: Work defined in the agreement to be delivered to the client.
  • Designer Tools: Software, tools, fonts, code, and design assets developed by us.
  • Final Deliverables: The completed version of the work provided to the client.
  • Project: Work conducted according to the terms of the agreement.
  • Services: All services agreed upon in the proposal or contract.
  • Third-Party Materials: Content sourced from third parties, such as stock images or illustrations.

Development Services

We provide services as outlined in the formal agreement and proposal, adhering to agreed project milestones.

Proposals and Scope

Proposals are valid for 30 days from receipt. After this, we may revise and resubmit for approval.

Fees and Compensation

  • Additional Costs: Third-party costs (e.g., hosting, licenses) are billed separately.
  • Expenses: Reimbursed at actual cost.
  • Payment: All fees and applicable taxes are due according to the project plan.

Payment Terms

  • Invoices: Payments are due within 5 days of receipt.
  • Schedule: Payment milestones are outlined in the project plan.

Project Changes

  • Minor Changes: Less than 20% of the project cost, billed at our standard hourly rates.
  • Major Changes: Over 20% of the project cost requires a new proposal. Work will not proceed until agreed.
  • Change Requests: Must be submitted in writing; we respond within 5 working days with potential impact on cost and schedule.

Delays

  • Client Delays: May extend project timelines on a day-for-day basis.
  • Our Delays: Will be communicated promptly.
  • External Delays: Events beyond either party’s control (e.g., natural disasters, strikes) will extend deadlines accordingly.

Evaluation and Acceptance

  • Testing: All deliverables are tested using industry-standard methods.
  • Approval Period: Clients have 7 working days to accept or reject deliverables. Revisions will be completed within 14 days, followed by another 7-day review.

Client Responsibilities

  • Provide accurate, proofread content compatible with deliverables.
  • Make timely decisions regarding third-party elements.

Promotion and Accreditation

  • We may display our work in portfolios, galleries, or websites unless otherwise agreed.
  • Neither party shall unreasonably withhold permission for promotional use, including website links.

Confidentiality

Both parties agree to maintain the confidentiality of any shared proprietary information. Exceptions apply if information is publicly known or disclosed through other channels.

Relationships

  • Agents: Third-party contractors remain under our responsibility.
  • Exclusivity: Neither party is bound to exclusive arrangements.
  • Independent Contractor: We operate as an independent contractor; no employment or partnership relationship is implied.

Liability

Services are provided “as-is.” Liability is limited to the fees paid by the client.

Rights for Work Produced

License: Non-exclusive, perpetual worldwide use for the agreed deliverables. No modification or derivation without permission.

Support Services

Warranty: Reasonable support and maintenance are provided at standard rates. Warranty is void if deliverables are modified by third parties.

Note: We reserve the right to update these terms at any time; continued use of our services constitutes acceptance of any changes.
